2.Every Health Services Providers (HSP) when become a virtually partner (only for providing medical, (limited services) to provides Health services like- online consultation, Appointment booking through chat, through video, audio calling on the platform of “mOK” mobile Application /www.iamokay.in (website)
3. Health Service Providers (HSP) i.e Doctor will make a legal Agreement with Healthyish Hub LLP. & to use their virtual (online) platform i.e. mOK Mobile Application /www.iamokay.in
4. What ever be discussed in agreement will strictly follow both parties i.e (Healthyish Hub LLP & (HSP) both ways.
(HSP’s) will not claim any right on any property of Healthyish Hub LLP. by any ways.
5. Doctors (HSP’) will never ever disclose anything about agreement between Healthyish Hub LLP & themselves or herself (HSP) publically or with users (patients) at any cost.
If such things will happen & reveals, that doctors (HSP) disclosed the terms & condition about the Agreement, that time “Firm” (Healthyish Hub LLP) will prohibit & Block from using the platform of mOK mobile Application and www.iamokay.in (website) at anytime without pre information and intimation.
Indirectly (Healthyish Hub LLP i.e (Firm) mOK will endorse all category wise doctors & HSP publically through (mOK’s virtual platform. Within its calculated risk management system.
Our Firm will generate leads from the users for the purpose of online all kind of Health Services.
For that Firm (Healthyish Hub LLP) will charge to doctors & HSP’s as a Subscription fee or charges of software
Firm will not be responsible about anything happen with patients or users while treatment, online consultation, offline consultation & other Health Services (about appointment cancellation or edit by Doctors or fee structure of respective Doctor).
If any patient or user of doctor create same personal kind of relationship or a using abuse language with each other and came to notice by Firm (Healthyish Hub LLP) that time “Firm” will block directly to that concern person without pre information.
Firm will bring some strategic policy (After discussing with expert in respective field) or “on win-win situation concept, so everyone using this platfom of mOK mobile Application /www.iamokay.in(web) will have compulsory follow the Business policies of Healthyish Hub LLP”.
Fees
1.The Firm (Healthyish Hub LLP) that is (mOK) shall pay to the Doctors and HSP’s amount of Rs /- as per decided while Agreement on Telephonic basis or legal agreement
(Rupees per successful transaction or such amount shall be communicated by the Firm (Healthyish Hub LLP) to the Doctors and HSP’s (Health service providers) vide an email or any mutually agreed mode.
2.Further the Firm (Healthyish Hub LLP) reserves the right to modify the payment structure as per the Firms’ (Healthyish Hub LLP) policies as & when Required.
3.Tax deduction will decide after mutual discussion between (Healthyish Hub LLP) & respective Drs.and HSP’s
4.Healthyish Hub LLP will have its own Business model suitable to every one (on win-win concept) has to be followed compulsory to every Health Service Providers. and it should be Confidentially maintained
(In performing services, Doctors and HSP will access to confidential information of the Healthyish Hub LLP (Firm) This may include without limitation a) Names, addresses, other personal details data, identity
Patients Name, Patients medical History details or disease Name other than patients only.
5. Marketing Strategies, targeting methods business model, details,
Individual HSP’s professional fees (charges) structure with other colleague of same profession should not be disclosed or reveal by any manner with other profession and other business objective of LLP.
Doctors and HSP (Health Services Providers) should not accumulate or collect such confidential information for other purposes, without the “Firm’s” prior written consent.
Doctors and HSP (Health Services Providers) should not disclose any confidential information about patients (or user) and about Firms Agreement to any unauthorized person or third party.
Doctors and HSP shall treat such confidential information with at least the same degree of care that it treat its own confidential information and shall exercise reasonable precautions to prevent disclosers of confidential information to unauthorized parties.
Doctors and HSP obligations with respect to confidentiality shall expire after (2) two years from the expiry or termination of this agreement.
Doctors and HSP’s Responsibility:
1)It shall be Doctors and HSP’s (Health Services Providers) responsibility that not to share the confidential information or the content of the transaction with any one.
2) Doctor shall be rated from publically by his or her Health Services to words patients, or users, The way of talking with patients, and users will decide Accordingly. For that “Healthyish Hub LLP” (Firm) will not interfere in treatment part of Doctor to patients.
Doctor should not use this (Mok) applications platform to prescribe any prescription to third party other than booked patient appointment for other purpose
The Firm (Healthyish Hub LLP”) is responsible only to pay the amount as professional fee charges to doctors and HSP’s which ever will decided while (signing in or log with mOK Application) according to Firm’s policies & regulation other than this, Firm shall not obligated to pay any salary.
Firm
with all applicable Laws and regulations while performing its responsibilities
obtain all necessary consent and authorization prior to
performing its responsibilities.
Doctors and HSP’s shall at all times provide the services, in compliance with the provisions of the telemedicine practice guidelines (issued as part of the Indian medical council)
Professional conduct, Etiquette and Ethics Regulations, 2002)

Independent contractor status
Doctor may not act as agent for, or on behalf of the LLP or to represent the LLP.
b) The Doctor will not be entitled to worker’s compensation, retirement insurance or other benefits afforded to employees of the LLP.
Accordingly the LLP shall not be responsible for any employee benefits including, without limitations the payment of minimum wages, bonus gratuity,
Leaves major provision of uniform, annual leave etc. in compliance various laws including without limitation employees provident fund Act,1952 Employees state insurance Act-1948, central labour (Regulation & Abotition) Act 1970,
Industrial dispute Act-1948, Payment of Bonus Act-1965
Payment of minimum wages Act-Payment of gratuity act-1972 etc, with respect to the Doctor,
* Indemnification *
Doctor shall reimburse, indemnify, detained and hold harmless the LLP.
Its Subsidiaries and affiliates and their officers, Directors and representatives from and against all issues damages expenses and penalty and any aim & actions therefore by or on behalf of any person (collectively loss”) arising out of or in connection with the (i) performance or failure of performance of this agreement including, without limitation, loss arising out of or occurring in connection with any acts or omissions by Doctor pursuant to providing services under the agreement including without limitation, personal injury and death claims or
(ii) any violation by the Doctor of any applicable low (including the Telemedicine guidelines ) or Regulation or this Agreement or (iii) any Representation which harms the LLP in anyway.
*Term & Termination Of Agreement
This agreement will become effective on the date of first written Agreement above and will remain in effect through the time period of or (two) year.
Each party may terminate this agreement at any time by
giving the other party a written or visual/verbal notice of the termination at least 50 days prior to the termination, date specified in the notice
(c) Breach of this agreement by either party includes, without limitation, the following circumstances
Failure to perform any material obligation hereunder that remains uncured after (30) thirty days prior written notice.
Ceasing to do business as a gain concern (c) breach of any of the clauses pursuant to this agreement.
Limitations & Liability
Firm (Healthyish Hub LLP) is only liable to pay the professional fees or charges as per discussed in clauses and while Agreement
The Firm (Healthyish Hub) will not be liable to the other party for incidental consequential, punitive or exemplary damages arising in connection with this agreement or the performance omission of performance or termination here of including without limitation, loss, sales & profits and other business interruption damages even if the party has been advised of the possibility of such damages and without regent to the nature of the claim of the underlying the any or aims of action.
Doctors shall be solely and completely liable for the services and prescriptions provided to the what so ever of the fixed LLP. The LLP firm shall not be liable for any actions of the Doctor pertaining to Doctor and customer relationship what so ever and the actions of the Doctors there in.
The LLP Firm shall not be liable for any medical Negligence by the Doctor or violation of
Telemedicine guidelines by the Doctor,

1) By using this virtual platform Doctors.for example ... Pathologist/ Radiologist can open their diagnostics centers on our platform." mOK - Diagnostics". And give service to needy patients or users who wants to do the different different types of blood test or Radiological tests
2) for example Thyroid function tests, kidney function tests, Liver function tests,
3) Different types of biochemistry tests Haemogram blood sugar ,urine , test etc..
4) sonography tests, x-ray, CT scan, MRI scan etc.
5) This platform (mOK- Diagnostics) give you easily or directly access to patients or users , who wants to Book different different types of diagnostics tests mentioned above
6) Diagnostics centers can give Free Home visits for blood sample collection or to pickup the patient, totally dependent on your types of services..
7) Diagnostics centers can decide their rates or payment conditions as per their convenience or affordability
8) Diagnostics centers have to publish their rates as per tests or different types of Discounts offering to users
9) After tests done Diagnostics centers should have to send the reports to the respective patients or his or her treating doctors but not to any one else without permission of that patient or users.
10) Diagnostics reports can be in the form of images or print format or written format should be sent to patients or users through PDF or any other convenient medium And that is why media files are being used in the diagnostic centre application.
11) Diagnostics centers can accept or reject the appointment booked for test from patients end .
